C O N S T I T U T I O N

ARTICLE I

NAME

Section 1.  This organization shall be known and so designated as the Wizards of Rods, Inc.

ARTICLE II

PURPOSE OF THE CLUB

Section 1:  The purpose of the club will be:

·         To promote activities relating to special interest vehicles, such as tours, exhibitions, parades, and safe operation;

·         To be a source of information for the exchange of special interest vehicles, parts, and related materials;

·         To promote public interest in the viewing, collection, preservation and restoration of special interest vehicles.

Section 2:  The club shall not be conducted or operated for profit and no part of any profits or remainder or residue from any dues or donations to the club shall incur to the profit of any member or individual.  The club shall be nonsectarian and nonpartisan.

ARTICLE III

JURISDICTION

Section 1:  Jurisdiction of this Constitution shall be as follows:  All persons who are members of the Wizards of Rods, Inc., and shall include the following classifications:

A.   Officers

a.    1 Chairman

b.    1 Co-Chairman

c.    1 Secretary

d.    1 Treasurer

e.    1 Historian/Photographer

B.   Directors

a.     (a) through (c) above

C.   Members

a.     Active (no specified number)

b.    Honorary (no specified number)

Section 2:  The Board of Directors consists of the Chairman, Co-Chairman, and the Secretary.

ARTICLE IV

Membership

Section 1:  Requirements.  Requirements for membership shall not insist upon the actual possession of a vehicle.  Merely an interest in the objectives of the club and a desire to take an active part in club activities shall be the primary requirement for membership.

A.    All applicants must be sponsored by an existing member.

B.   The applicant must be present at a regular monthly meeting to join the club.

Section 2:  Active.  Any person, eighteen (18) years of age, shall include spouse and children under the age of eighteen (18) or in high school.

A.    A member in good standing is one who has paid his/her dues in full, has no outstanding amounts due the club, and must contribute to club activities.  Members are encouraged to maintain the spirit of good fellowship, camaraderie and fair play through sponsored activities, including the use of modified vehicles and including family participation.

Section 3:  Honorary.  Any active member with ten (10) continuous years of service may become an honorary member by requesting in writing to be made an honorary member at any regular meeting.

A.    Any member granted an honorary membership shall receive in recognition of his years of service a plaque.

B.   A sponsor will be required for recognition purposes.

Section 4:  Termination of Membership.  Membership may be terminated by:

A.    Resignation.  Any member may resign by filing a written resignation with the Secretary, but such resignation shall not relieve the member resigning of the obligation to pay any dues, assessments or other charges theretofore accrued and unpaid.

B.   Expulsion.  The Directors, by affirmative vote of two-thirds (2/3) of all the members of the Board, may suspend or expel a member for a just cause after an appropriate hearing.  The Board shall report such actions to the body at the next regular meeting.

C.   Lapsing.  A membership will be considered lapsed and automatically suspended if such member’s dues are unpaid thirty (30) days after the first day of February.

a.     If the lapse is caused to the enlistment into the active military, such person will be considered on a leave and remaining time will be credited upon their return.

Section 5:  Reinstatement of Membership.  Upon written request signed by the former member and filed with the Secretary, the Directors may, by affirmative vote of two-thirds (2/3), reinstate such former member to membership upon such terms as the Directors may deem appropriate.  The Board shall report such actions at the next regular meeting.

Section 6:  Transfer of Membership.  Membership in this organization is not transferable or assignable.

ARTICLE V

AMENDMENTS TO THE CONSTITUTION

Section 1:  No alternations or corrections shall be made to this Constitution unless proposed in writing at a regular meeting.  At such time, discussion will be conducted and the Chairman/Co-Chairman will present it to the body in its final form to be acted upon.  If amended by three-fourths (3/4) majority vote of the members present, at the next regular meeting, it will again be voted upon.  If it received a three-fourths (3/4) majority vote of the members present on the second voting, it will become a change and/or an amendment to this Constitution.


 

B Y L A W S

BYLAW I

ELECTION OF OFFICERS

Section 1:  The officers of this organization shall consist of, as described in Article III, Section 1, Subsection A, and shall be elected in the order, whose terms of office shall be one (1) year or until their successors are elected and qualified.

Section 2:  Eligibility for office.  Any member in good standing for a minimum of one (1) year and is an active member in the club (see Article IV, Section 2) shall be eligible for office.

Section 3:  Nominations and elections will be held at the regular annual February meeting of each year.

A.    A majority of all votes cast shall elect same.

Section 4:  Officers elected at the annual February meeting shall take office at the March meeting.

Section 5:  Vacancies in Office.  Whenever a vacancy shall occur in any of the offices of this organization, it shall be the duty of this organization to fill this vacancy at the next regular meeting in accordance with Bylaw I.

BYLAW II

Meetings

Section 1:  Annual Meeting.  The annual meeting of the members shall be held during February in each year.  The purpose of said meeting shall be the election of the officers and the transaction of such other business as may come before the meeting.

Section 2:  Regular Meeting.  Regular meetings of the members shall be held monthly every third Saturday, unless advance notice is given, for the purpose of transaction business.

Section 3:  Quorum.  The quorum for any meeting of this organization shall be the members present at that meeting.

Section 4:  Parliamentary procedure shall govern all meetings of this organization in all cases not in conflict with this Constitution and Bylaws, applying to the case in point.

BYLAW III

DUTIES OF THE CHAIRMAN

Section 1:  The Chairman shall be the principal control officer of the organization and shall, in general, supervise and control all of the business and affairs of the club.  He/she shall preside at all meetings of the members and shall perform all the duties incident to the office of Chairman.

Section 2:  The Chairman shall announce the date, location and time of the next meeting at each meeting he/she is presiding.  This information will also be given to the newsletter staff.

Section 3:  The Chairman shall appoint standing committees as deemed necessary by himself/herself and/or the membership.

Section 4:  In the absence of the regular Treasurer, the Chairman will have the authorization to sign checks.

BYLAW IV

DUTIES OF THE CO-CHAIRMAN

Section 1:  In the absence of the Chairman, the Co-Chairman shall perform the duties of the Chairman.

Section 2:  The area of publicity and club promotion shall be the responsibility of the Co-Chairman and the coordination of the 50-50 drawing at each monthly meeting.

BYLAW V

DUTIES OF THE SECRETARY

Section 1:  It shall be the duties of the Secretary to keep an accurate record in writing of all the transactions and business of the organization, to keep minutes of all meetings, correspondence, and see that all notices are given in accordance with the provisions of this Constitution and its Bylaws, and in general, perform all duties incident to the office of Secretary.

Section 2:  The Secretary will keep a register of the post office address of each member.

Section 3:  The Secretary will take roll call and record same at every meeting.

BYLAW VI

DUTIES OF THE TREASURER

Section 1:  It shall be the duty of the Treasurer to receive all money belonging to the organization and to pay all bills authorized by the organization.

Section 2:  The Treasurer shall keep an accurate record of all monies received and paid out, and to make a verbal report at each regular meeting of all receipts and disbursements.

Section 3:  The Treasurer shall maintain the scholarship fund savings account.

Section 4:  The Treasurer shall have one checking account.

A.   The account will be known as Wizards of Rods, Inc.  These records shall reflect normal receipts and disbursements of the organization.

Section 5:  The Treasurer shall submit his/her records belonging to the organization prior to the February meeting to an audit.  The outgoing and newly elected Board of Directors shall jointly audit the financial records of the club at the end of the fiscal year.

Section 6:  The Treasurer shall turn over all records, money and equipment belonging to the organization to his/her successor in February.

Section 7:  The Treasurer shall bring a bank signature card to the February meeting for the new Chairman and/or Treasurer to sign.

BYLAW VII

DUTIES OF THE HISTORIAN/PHOTOGRAPHER

Section 1:  The Historian/Photographer shall compile and make available a scrapbook of club activities.

Section 2:  The Historian/Photographer shall turn over all material and scrapbook(s) belonging to the organization to his/her successor in February.

BYLAW VIII

VOTING MEMBERS

Section 1:  All active members of this organization age eighteen (18) and over, with a paid membership, shall be considered a voting member.  An active member’s child, upon graduation from high school, will receive a gift membership until the next fiscal year.

BYLAW IX

FISCAL YEAR

Section 1:  The fiscal year of this organization shall begin on February 1 and end of the last day of January.

BYLAW X

DUES-FEES

Section 1:  Membership dues are payable the first day of January each year.  Annual dues shall be $12 per person/$18 per couple.  All new members shall have their dues prorated.

BYLAW XI

ANNUAL FEATURE VEHICLE(S) DRAWING

Section 1:  The winner of the feature vehicle(s) drawing will be used on annual car show flyers, dash plaques and t-shirts.

Section 2:  Member must be present at the annual holiday party to participate in the drawing.

Section 3:  Member must be in good standing for a minimum of one (1) year.

Section 4:  The vehicle entered in the drawing must make it to the club’s annual car show on its own power.

Section 5:  No member’s vehicle shall be used twice unless all members have had an opportunity at least one.

BYLAW XII

ANNUAL MEMBER-OF-THE-YEAR AWARD

Section 1:  Must be a member in good standing for a minimum of two (2) years, which means help at our annual car show and Platoon Run, contribute to the newsletter at least once a year, donate a door prize for our annual car show, and make it to at least one highway clean-up a year.

Section 2:  After nominations are received from club members, the Officers of the club will vote for the Member-of-the-Year Award recipient.  Majority vote will determine the winner.

BYLAW XIII

50-50 DRAWING

Section 1:  Each member present at a monthly meeting may participate if he/she wishes.  Each participating member pays $1 to enter.  Half of the money collected goes to the drawing winner; the other half goes to the club treasury.  Majority vote of club members present at a regular meeting will determine where the club’s portion of the proceeds will go, if other than the treasury.

BYLAW XIV

AMENDMENTS TO THE BYLAWS

Section 1:  No alternations or corrections shall be made to these Bylaws unless proposed in writing at a regular meeting.  At such time, discussion will be conducted and the Chairman/Co-Chairman will represent it to the body in its final form to be acted upon.  If amended by three-fourths (3/4) majority vote of the members present, at the next regular meeting, it will again be voted upon.  If it receives a three-fourths (3/4) majority vote of the members present on the second voting, it will become a change and/or an amendment to these Bylaws.

 

 

 

It is understood that all members have read and do agree to the conditions of the above constitution and Bylaws, and that all new members understand and agree to this document at the time of accepting membership.
